*Special Terms & Conditions 

These Special Terms & Conditions govern the below limited-time joint Promotional Offer(s) made by Toast, Inc. (“Toast”) and Resy Network, Inc. and Tock, LLC (“Resy/Tock”) to eligible restaurant customers (each, a “Restaurant”) that satisfy the qualifying requirements set forth herein.  

Upon satisfaction of all eligibility requirements and execution of the applicable ResyOS or TockOS agreement, the Restaurant will receive the Promotional Offer (“Promotional Offer”), subject to the terms and conditions set forth herein. 

Qualifying Requirements for Promotional Offer 

To be eligible for and retain Promotional Offer, the Restaurant must meet and maintain the following requirements (collectively, the “Qualifying Requirements”): (1) Restaurant must be a current user of Toast’s POS platform; (2) Restaurant must not currently utilize ResyOS or TockOS; (3) Restaurant must enable and maintain an eligible Resy/Tock integration with Toast within sixty (60) days of its Resy/Tock OS implementation date; (4) Restaurant must be submitted through, and approved via, the designated qualifying lead form jointly approved by Toast and Resy/Tock; and (5) to receive and retain Promotional Offer , the Restaurant must remain an active Resy or Tock customer for the full duration of the Promotional Term, as defined below. 

Offer Details for Promotional Offer 

• Offer Terms: Six (6) months of ResyOS or TockOS free (monthly subscription fees only) (“Promotional Term”).  

• Contract Terms: Eighteen (18) month term, waived implementation fee (IMP), Auto-Renew. 

The Promotional Offer applies only to standard monthly subscription fees for ResyOS or TockOS and does not apply to add-ons, premium features, payment processing fees, hardware, third-party integrations (unless expressly stated), or any other fees not explicitly included above.  

Additional Terms 

• A Restaurant may redeem the Promotional Offer only once within a twenty-four (24) month period, regardless of location or ownership structure. 

• Resy/Tock reserves the right, in its sole discretion, to withhold the Promotional Offer from any Restaurant that was a Resy or Tock customer within the preceding twelve (12) months, subsequently churned, and later re-joined, in order to prevent misuse or circumvention of promotional eligibility requirements. 

• Resy/Tock reserves the right to recover the full value of the Promotional Offer if the Restaurant terminates its Resy/Tock agreement prior to the end of the Promotional Term. 

• In the event the Restaurant elects to exit its Resy/Tock agreement before the end of the Promotional Term, Resy/Tock reserves the right to require payment for the remainder of the term at standard rates. 

The Promotional Offer is limited to one per Restaurant per location. The offer cannot be redeemed for cash and may not be applied to any fees not expressly included above. Toast and Resy/Tock each reserve the right to suspend, modify, or terminate the Promotional Offer at any time, and to determine eligibility in their respective sole discretion. Separate agreements and additional terms and conditions apply to the applicable Toast and Resy/Tock products and services.
